Strict Equity-Only Crowdfunding Mandate
Notice to all platform participants: Fundigoo operates strictly on an Equity Crowdfunding model. Investors deploy capital exclusively in exchange for direct company equity (ordinary shares, preferred shares, or standardized equity SAFE instruments). Fundigoo does not offer, broker, or permit debt financing, loan agreements, interest-bearing notes, peer-to-peer lending, or debt securities of any kind.
11. Representations & Warranties of the Issuer
The Company and its signing directors warrant that:
- The company is duly incorporated and validly existing under applicable corporate law.
- All financial disclosures, pitch decks, cap-tables, and revenue figures provided are truthful, accurate, and not misleading.
- The company possesses valid authority to issue the offered equity shares without violating third-party agreements or encumbrances.
22. Obligation to Deliver Equity Share Certificates
The Issuer agrees that upon successful campaign closing and receipt of Tranche 1 disbursal, it will formally issue official equity certificates or execute the Share Subscription Instrument for each verified backer within thirty (30) calendar days.
33. Escrow Exclusivity & Fee Schedule
The Issuer agrees to receive all campaign contributions strictly through Fundigoo's designated smart escrow accounts and authorizes Fundigoo to retain the agreed 5% platform maintenance fee upon disbursement.
44. Indemnification & Liability
The Issuer agrees to indemnify and hold harmless Fundigoo, its officers, trustees, and technical operators from any third-party claims, regulatory sanctions, or legal liabilities arising from fraudulent representation, willful misconduct, or failure to fulfill corporate equity obligations.
