Strict Equity-Only Crowdfunding Mandate
Notice to all platform participants: Fundigoo operates strictly on an Equity Crowdfunding model. Investors deploy capital exclusively in exchange for direct company equity (ordinary shares, preferred shares, or standardized equity SAFE instruments). Fundigoo does not offer, broker, or permit debt financing, loan agreements, interest-bearing notes, peer-to-peer lending, or debt securities of any kind.
11. Equity Offering Requirement
Every enterprise seeking capital on Fundigoo must offer authentic company equity (% of total authorized/issued share capital) or a recognized equity instrument (SAFE / Convertible Equity).
Founders cannot request loans or issue promissory notes. All terms, valuations, pre-money valuations, and equity percentages must be verified by company financial audits and agreed with the Fundigoo Due Diligence Committee prior to public launch.
22. Four-Stage Campaign Due Diligence
Every campaign must pass:
1. Legal Entity & Founder eKYC Audit (Trade license, Incorporation, TIN, criminal background check).
2. Product & Traction Validation (Working MVP, live demos, audited revenue / MRR verification).
3. Cap-Table & Valuation Assessment (Pre-money valuation validation, cap-table clean-up).
4. Milestone & Budget Audit (Realistic roadmap broken into verifiable technical and commercial tranches).
33. Milestone Delivery Commitments
Funds are disbursed incrementally based on milestone achievements. Founders must submit objective evidence (e.g. deployed software, patent filing, production invoice, auditor report) to unlock subsequent escrow tranches.
44. Ongoing Investor Reporting
Founders are contractually bound to provide quarterly investor updates detailing business progress, burn rate, revenue milestones, and material corporate developments through the Fundigoo Founder Portal.
