Strict Equity-Only Crowdfunding Mandate
Notice to all platform participants: Fundigoo operates strictly on an Equity Crowdfunding model. Investors deploy capital exclusively in exchange for direct company equity (ordinary shares, preferred shares, or standardized equity SAFE instruments). Fundigoo does not offer, broker, or permit debt financing, loan agreements, interest-bearing notes, peer-to-peer lending, or debt securities of any kind.
11. Strict Equity-Only Mandate (No Debt Finance)
Fundigoo operates exclusively under an Equity Crowdfunding Model.
When you invest in any project, venture, or accelerator cohort company listed on Fundigoo:
- You are purchasing direct equity ownership (such as common shares, preferred equity, or standardized equity SAFE agreements) in the enterprise.
- You are NOT issuing a loan, debt note, bond, debenture, or credit facility.
- You will NOT receive fixed interest, guaranteed monthly loan repayments, or debt interest coupons.
- Returns are realized exclusively through company capital appreciation, dividends declared by the company board, secondary equity transactions, trade sales, or Initial Public Offerings (IPO).
Campaigns claiming to provide guaranteed monthly interest returns or debt lending are prohibited and rejected by our curation desk.
22. Investor Suitability & Verification
Any individual aged 18 or older and any registered corporate entity who successfully completes our eKYC verification process may invest. Investors must certify that they understand early-stage venture investing, have sufficient financial literacy, and are deploying risk capital that they can afford to hold illiquid over multi-year horizons.
33. Minimum & Maximum Investment Allocation
Minimum ticket amounts are determined per campaign (typically starting at ৳1,000 to ৳50,000 BDT). Retail investors are guided by prudent portfolio diversification principles to ensure risk is spread across multiple vetted businesses rather than concentrated in a single startup.
44. Early-Stage Venture Risk Disclosures
Early-stage equity investing carries inherent commercial risk. Startups may face technical challenges, market competition, or business failure. Equity investments are illiquid and cannot be redeemed immediately on demand like bank deposits. Past growth is not a guarantee of future valuation multiples.
55. Shareholder Representation & Nominee Structure
Depending on the campaign structure, investors receive either direct registration on the company cap-table or representation through an investor nominee vehicle designed to simplify voting, rights aggregation, and collective exit negotiations.
Officially ratified and published by Fundigoo Compliance & Legal Directorate.
