Strict Equity-Only Crowdfunding Mandate
Notice to all platform participants: Fundigoo operates strictly on an Equity Crowdfunding model. Investors deploy capital exclusively in exchange for direct company equity (ordinary shares, preferred shares, or standardized equity SAFE instruments). Fundigoo does not offer, broker, or permit debt financing, loan agreements, interest-bearing notes, peer-to-peer lending, or debt securities of any kind.
11. Nature of the Investment
The Investor expressly acknowledges and agrees that:
- All funds deposited are strictly for the acquisition of equity shares or approved equity instruments in the issuing enterprise.
- The investment is not a loan, deposit, debenture, or debt security.
- The Investor does not possess debt creditor status, will not receive fixed interest, and cannot demand repayment of principal as debt.
- Returns are contingent on company commercial growth, dividends, or exit events.
22. Appointment of Escrow Trustee
The Investor irrevocably authorizes Fundigoo and its banking partners to hold pledged funds in escrow custody and disburse capital to the issuer upon validated milestone achievement in accordance with the Fund Disbursement Policy.
33. Investor Representations & Warranties
The Investor warrants that:
- All capital deployed originates from legitimate, non-sanctioned financial sources in full compliance with AML/CFT legislation.
- They have reviewed the offering materials and understand the risks inherent in early-stage equity investments.
- They will maintain their verified identity credentials and not permit third parties to execute trades through their account.
44. Independent Tax & Legal Responsibility
The Investor acknowledges that they are solely responsible for calculating and remitting any taxes (e.g. capital gains tax or dividend withholding tax) associated with their equity holdings in their applicable jurisdiction.
